1. Overview
By participating in the Haven1 Labs Affiliate Program (the “Program”), you (“Affiliate,” “You,” or “User”) agree to be bound by these Terms and Conditions (“Terms”). The Program is operated by Haven1 Labs, who may modify or terminate the Program or these Terms at any time, with or without notice.
2. Use of the Affiliate program
The Affiliate Program allows you to promote Haven1 and its decentralized exchange (DEX), hSWAP, by sharing unique referral links or manually input referral codes ("Referral Codes").
When a User uses a referral link, the Referral Code is stored in their browser and applied on their first trade. Traders may also manually input or update Referral Codes in the designated Traders section.
3. Eligibility
You must be at least 18 years of age
You may not participate if you are a resident or citizen of any restricted jurisdiction, including but not limited to the United States, China, North Korea, Iran, or any country subject to sanctions.
Haven1 Labs may require identity verification (KYC) at its discretion, particularly for high-earning affiliates or in response to suspicious activity.
4. Affiliate Mechanics
Upon acceptance, you will receive a unique referral code or tracking link.
You will be eligible to earn rewards when referred users meet predefined criteria, which may include completing KYC, funding a wallet, or interacting with specific hApps or protocols within the Haven1 network.
Referrals must be new users to Haven1 (i.e., no prior wallet, KYC, or meaningful interaction with the network).
Haven1 Labs reserves the right to change eligibility conditions at any time.
5. Obligations
5.1 Haven1 will provide you with referral materials including links and codes. It is your responsibility to ensure the correct Referral Code is used in your promotions.
5.2 You may promote Haven1 using your own channels and strategies, provided that your marketing is not misleading, deceptive, or in violation of applicable laws and regulations.
5.3 Haven1 is not liable for any lost Rebates or referral opportunities resulting from technical errors, system overloads, or smart contract failures. Sign ups and deposits tracking is managed via decentralized smart contracts.
5.4 You may be excluded from the Affiliate Program if you:
Use misleading, offensive, or harmful language/content in any public or private promotions;
Attempt to game the system through self-referrals or other manipulative behavior;
Violate Haven1’s policies or applicable laws.
6. Payouts
Rewards will be distributed in H1 tokens, subject to availability, review, and fulfillment by Haven1 Labs.
Rewards may be subject to minimum thresholds, payout schedules, cooldown periods, or vesting as determined by Haven1 Labs.
Any suspected manipulation, self-referral, or abuse may result in forfeiture of rewards.
7. Rebates
Rebates are calculated as a sliding percentage of trading fees generated by Referred Users. Rebates apply only to future trades after a Referral Code is used - they are not retroactive.
Traders may also receive H1 token rewards based on the Referrer's tier level. Details of the tier structure and instructions for upgrading are available in the official documentation.
Haven1 reserves the right to modify rebate structures, deny payments, or adjust eligibility criteria at any time.
8. Prohibited Conduct
You agree not to:
Refer yourself or use multiple identities to manipulate the Program.
Use misleading marketing tactics or promote the Program in inappropriate or non-permitted forums (e.g., spam).
Misrepresent Haven1 Labs, the Program, or your relationship to the Haven1 ecosystem.
Engage in any activity that violates applicable law, infringes intellectual property, or poses reputational risk to Haven1 Labs.
Violations may result in immediate removal from the Program, withholding of any pending rewards, and potential legal action.
9. Tax Disclaimer
Haven1 Labs does not provide tax advice. You are solely responsible for understanding and complying with all tax obligations that may arise from your participation in the Program or your receipt of H1 tokens. Tax treatment varies by jurisdiction, and you should consult with a qualified tax advisor regarding any tax filings, payments, or disclosures required under your local law.
10. Token Disclaimer
H1 is a hybrid utility/ payment token used for interacting within the Haven1 blockchain network. It is not intended to function as a financial instrument or investment product. Holding or receiving H1 tokens does not confer ownership, profit-sharing, or equity rights in Haven1 Labs or any related entity. Participation in the Program does not constitute an offer to sell or the solicitation of an offer to buy securities, and should not be interpreted as a financial or investment promotion. Users should not participate in the Program with the expectation of profit.
11. Termination
Haven1 Labs may suspend or terminate the Program, or your participation in it, at any time and for any reason with or without prior notice, including for violations of these Terms or any applicable laws. Haven1 Labs also reserves the right to audit affiliate activity and retroactively adjust or revoke rewards in cases of suspected abuse or manipulation You acknowledge that Haven1 is not liable for any resulting loss or inconvenience.
Haven1 may also revise these Terms at any time. Updates will be indicated by the date at the top of this document and posted at https://haven1.org/affiliate-program-terms-and-conditions. Continued participation after changes constitutes your acceptance of the revised Terms.
12. Limitation of Liability
Haven1 shall not be liable for any direct, indirect, incidental, consequential, or punitive damages resulting from your use of the Affiliate Program, website(s), associated services, or smart contracts. This limitation applies regardless of legal theory and even if Haven1 has been advised of the possibility of such damages.
13. Governing Law
These Terms are governed by and construed under the laws of the Cayman Islands. Any disputes arising out of or in connection with the Program shall be subject to the exclusive jurisdiction of the courts of the Cayman Islands.
14. General
14.1 These Terms represent the entire agreement between you and Haven1 and supersede all prior agreements or understandings related to the Affiliate Program.
14.2 You must be legally eligible to enter into these Terms. By participating, you confirm that you meet this requirement.
14.3 No partnership, joint venture, employment, or agency relationship exists between you and Haven1 as a result of your participation.
14.4 If any part of these Terms is found to be unenforceable, the remainder shall continue in effect. The unenforceable portion will be replaced with a valid clause that reflects the original intent.
14.5 You may not transfer your rights or obligations under these Terms without Haven1’s prior written consent. Haven1 may assign its rights or obligations without restriction.
14.6 Haven1 shall not be held responsible for delays or failures due to events beyond its control, including natural disasters, regulatory changes, network failures, or cyberattacks.
